UBER Uber's FY2024 - $9.9 Billion Net Income, Mostly a Tax Valuation Release, on a Genuinely Record Operating Year

Uber's FY2024 10-K shows full-year income from operations of $2,799 million, up 152% year-over-year, on revenue up 18% to $43,978 million. Adjusted EBITDA grew 60% to $6,484 million and free cash flow rose 105% to $6,895 million. Net income attributable to Uber reached $9,856 million for the year, but $6.4 billion of that came from a one-time deferred-tax valuation-allowance release recognized in Q4, alongside a $1.6 billion net unrealized gain on equity stakes (Grab, Aurora, Didi). Standalone Q4 2024 revenue was $12.0 billion (+21% YoY) with a record $1.84 billion Adjusted EBITDA.

A Record Operating Year, With Net Income Inflated by a One-Time Tax Release

Full-year income from operations was $2,799 million, up 152% from $1,110 million in FY2023 - Uber's second consecutive profitable fiscal year, and the largest yet. Adjusted EBITDA grew 60% year-over-year to $6,484 million, and full-year free cash flow reached $6,895 million, up 105% from $3,362 million in FY2023, representing 106% conversion of Adjusted EBITDA. Revenue grew 18% to $43,978 million.

Standalone Q4 2024 results, as disclosed directly in the company's earnings materials rather than derived: revenue of $12.0 billion, up 21% year-over-year, GAAP income from operations of $770 million, and a record Adjusted EBITDA of $1.84 billion, up 44% year-over-year - Uber's "strongest quarter ever" per management, with all-time highs for trips, Gross Bookings, and Adjusted EBITDA.

Net income attributable to Uber was $9,856 million for the year, up sharply from $1,887 million in FY2023, but the headline needs immediate qualification: Q4 alone contributed $6.88 billion of that, and $6.38 billion of the Q4 figure was a one-time benefit from releasing a deferred-tax valuation allowance, unrelated to operating performance. The remaining Q4 net income also included a $556 million net unrealized gain on equity investments. For the full year, the equity-stake swing totaled a $1.6 billion net unrealized gain - $723 million on Grab, $629 million on Aurora, and $357 million on Didi. Strip out both the tax release and the equity-stake gains, and the year's profit is still real but far smaller than the $9.9 billion headline suggests; the more durable number remains the $2,799 million of GAAP operating income, consistent with the operating-margin story this site has tracked since Q2 2023's first positive quarter.

Segment Adjusted EBITDA for the full year: Mobility grew 31% to $6,497 million and Delivery grew 64% to $2,471 million, both new full-year highs. Freight's loss widened 16% to $(74) million on a 2% revenue decline, continuing the freight-market weakness flagged throughout 2023 and 2024.

The Prescription

This year's $9.9 billion net income figure is the clearest example yet of why this site treats Uber's GAAP net income as an unreliable headline: two-thirds of it came from a non-operating, non-cash deferred-tax valuation-allowance release recognized in a single quarter, on top of the now-familiar equity-stake noise. Investors reading only the net income line risk badly overstating the year's underlying profitability. The operating story is nonetheless genuinely strong on its own terms: a second straight profitable fiscal year, operating income up 152%, Adjusted EBITDA up 60%, and free cash flow conversion of 106% against Adjusted EBITDA - each of these metrics cited by management as exceeding the three-year targets set at the 2024 Investor Update, one year in.

Freight remains the one segment moving the wrong direction, its loss widening for a second consecutive year on a market cycle that has yet to turn - worth continuing to watch into 2025.

Beyond the Usual

A $6.4 Billion Tax Valuation-Allowance Release

Uber's Q4 2024 net income of $6.88 billion included a $6.38 billion benefit from releasing a deferred-tax valuation allowance - a non-cash, non-operating accounting event distinct from both the operating business and the equity-stake mark-to-market swings this site has tracked since 2021. This is the largest single item this site has recorded in any of Uber's quarterly or annual net income figures to date, and underscores why GAAP net income has become an increasingly unreliable single-line summary of Uber's quarter-to-quarter or year-to-year performance.

Full-Year Free Cash Flow Conversion Tops Management's Own Target

Free cash flow reached $6,895 million against Adjusted EBITDA of $6,484 million - a 106% conversion rate, ahead of the 90%+ target management set at the 2024 Investor Update. This is the strongest full-year FCF conversion this site has recorded for Uber and suggests the underlying cash economics of the business have continued to improve independent of the noisier net income line.

Stock Price Since Last Quarter

Uber's stock declined through the fourth quarter: from a September 30, 2024 close of $75.16, down to $72.05 in October, $71.96 in November, and $60.32 at the December 31, 2024 close - a decline of roughly 20% for the quarter, its worst since the sharp declines flagged in mid-2024. For the full year, the stock fell from $61.57 (December 29, 2023 close) to $60.32 (December 31, 2024 close) - down roughly 2% for calendar 2024, a sharp reversal from FY2023's 149% gain.

Target Valuation Range

Undervalued. Uber traded at an EV/Revenue multiple of roughly 3.4x against FY2024 revenue as of year-end - down from Q3 2024's ~4.4x, on the stock's sharp Q4 decline.

With approximately 2,089,008,865 shares outstanding as of February 11, 2025 (per the 10-K's cover page) and a December 31, 2024 close of $60.32, Uber's market capitalization was approximately $126.0 billion. Against total liabilities of $28.77 billion and cash and cash equivalents of $5.89 billion, enterprise value was roughly $148.9 billion - down from the ~$182.7 billion calculated in the 2024-09 post, as the stock's Q4 decline outweighed the modest debt reduction. Against FY2024 revenue of $43,978 million, that implies an EV/Revenue» of roughly 3.4x.

Dec 2024 Sep 2024
TTM/FY Revenue $44.0B $42.0B
Enterprise Value $148.9B $182.7B
EV/Revenue 3.4x 4.4x

The valuation compressed meaningfully in Q4 even as the operating metrics kept improving - a second straight profitable fiscal year, operating income up 152%, and free cash flow conversion above management's own long-term target. This site continues to hold off on a full DCF; the multiple's Q4 decline looks driven by the stock's own pullback rather than any deterioration in the underlying business.
